These Terms and Conditions govern your use of the Phasis website and services. By accessing or using our site, you agree to these terms.

1. Acceptance of Terms

By accessing and using the Phasis website, you accept and agree to be bound by the terms and provision of this agreement. These terms apply to all visitors, users, and others who access or use our service.

Important Notice:

If you do not agree to abide by the above, please do not use this service. Your continued use of our website following the posting of changes to these terms will be deemed your acceptance of those changes.

2. Use of Website

Our website provides information about the Phasis software platform, our engineering services and our company. You may use our website for lawful purposes only.

3. Software Licensing

Use of the Phasis software platform is governed by a separate written license or subscription agreement between S.C. Phasis Engineering S.R.L. and the customer. Where such an agreement exists, it prevails over these Terms and Conditions in respect of the software. Nothing on this website constitutes an offer, a warranty, or a specification of the software. Features described on this website as "In design" or "Planned" are not commitments to deliver.

Fees and invoicing

Fees, the licence term and the invoicing schedule are those set out in the applicable order form or subscription agreement. Licence fees are payable in advance for the term they cover. Where a subscription renews, it renews on the terms then agreed, and we tell you before a renewal invoice is issued.

Refunds

Licence fees already paid are not refundable, in whole or in part, on cancellation or non-use during a term, except where a refund is required by law or expressly agreed in writing. Setup, commissioning and hardware are quoted and invoiced separately, and are not refundable once the work is done or the hardware delivered.

Late payment

Amounts not paid by their due date carry interest at the statutory rate for late payment in commercial transactions under Romanian law, accruing from the due date until payment. We may suspend access to a service for non-payment after giving written notice and a reasonable opportunity to pay.

Taxes

Fees are stated exclusive of value added tax and any other duty or levy. You are responsible for taxes arising on your purchase, other than taxes on our income. Where a reverse charge or an exemption applies, you provide the identifiers needed to support it.

4. Intellectual Property Rights

The service and its original content, features, and functionality are and will remain the exclusive property of Phasis and its licensors.

Protected Materials

All content, including but not limited to text, graphics, logos, images, software, and design elements, are protected by copyright, trademark, and other intellectual property laws.

Usage Rights

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our content without prior written consent.

Restrictions

Except to the extent that mandatory law expressly permits it, and only after you have asked us for the information you need, you may not reverse engineer, decompile or disassemble the Phasis software, or otherwise attempt to derive its source code, data models, algorithms or underlying structure. You may not remove or obscure a proprietary notice, circumvent a licensing or access control, or use the software, this website or their output to build, train or improve a competing product or service, or to publish a benchmark or comparison without our prior written consent. You may not access the site or the software by automated means in a way that burdens our infrastructure, or scrape it in bulk.

Trademarks

"Phasis" and our logo are trademarks of S.C. Phasis Engineering S.R.L. You may not use our trademarks without our prior written permission.

5. Indemnification

You agree to defend, indemnify and hold harmless S.C. Phasis Engineering S.R.L., its directors, employees and agents against any third-party claim, and against the resulting damages, losses, liabilities, costs and reasonable legal fees, to the extent it arises from your breach of these Terms, your unlawful or unauthorised use of this website or the software, your infringement of a third party's rights, or content or data you supply to us.

We will tell you promptly of any claim we are aware of, give you control of the defence and settlement of it, and give you reasonable assistance at your cost. You may not settle a claim in a way that imposes an obligation or an admission on us without our prior written consent. This section does not limit rights or remedies either of us has under a separate licence or subscription agreement.

6. Export Control and Sanctions

The software and any related technical information may be subject to export control and sanctions rules, including those of the European Union and the United Nations.

By using this website or the software you confirm that you are not located in, ordinarily resident in, established in, or acting for the benefit of a person in a country or territory subject to European Union or United Nations sanctions, and that you are not a person designated on a European Union or United Nations sanctions list, nor owned or controlled by such a person.

You agree not to export, re-export, transfer or make the software available in breach of those rules, and not to use it for a purpose those rules prohibit. We may suspend or terminate access where we reasonably believe continuing would breach a sanctions or export control obligation.

7. Limitation of Liability

In no event shall Phasis, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Disclaimer of Warranties:

Our aggregate liability to you for any claim arising out of or relating to these terms or our service shall not exceed the amount you paid us, if any, in the preceding twelve months. Liability for the Phasis software platform itself is governed by the applicable license or subscription agreement.

9. Reporting Infringing or Unlawful Content

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

Continued Use

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.

11. Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of Romania, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the Romanian courts.

Dispute Resolution

We encourage you to contact us first to resolve any disputes informally. If we cannot resolve a dispute through informal means, formal disputes will be resolved through Romanian courts.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
